Terms,& Service Policy

1. Introduction
These Terms & Conditions apply to all services, products, quotations, invoices, hosting, websites, subscriptions, and transactions provided by Gill Tech Services (“we”, “us”, “our”) to customers (“you”, “your”).
Gill Tech Services is a trading name of NZ GILL ENTERPRISE LIMITED.
By requesting a quote, accepting services, making payment, or continuing to use our services, you confirm that you have read, understood, and agreed to these Terms in full.
2. Our Services
We provide IT and digital services including but not limited to:
- IT support and troubleshooting
- Cloud services (Microsoft 365 setup & management)
- Network setup and maintenance
- Hardware supply via authorised distributors
- Website design and development
- eCommerce website setup and integration
- Domain registration, hosting, and business email services
- Video conferencing solutions
- System configuration, training, and ongoing support
- Automation and online booking systems
3. Quotes & Pricing
- Quotes are valid for 7 days unless stated otherwise
- Pricing is based on information available at the time of quoting
- Prices may change due to supplier, licensing, stock, or exchange rate variations
- Orders are only confirmed after written approval or payment
- We reserve the right to adjust pricing before confirmation if supplier costs change
- All prices are exclusive of GST unless otherwise stated
4. Orders & Payment
- Payment terms are strictly as stated on invoices
- Full or partial prepayment may be required before work begins
- Ownership of goods remains with us until full payment is received
- Late or non-payment may result in suspension or cancellation of services
- Work will not proceed or continue if outstanding invoices exist
- Recovery, legal, or debt collection costs incurred in recovering unpaid invoices may be charged to the client
5. Non-Payment & Service Suspension
If payment is not received by the due date:
- Hosting, email, websites, cloud services, and systems may be suspended immediately
- System access may be restricted or disabled
- Domain renewals will not be processed
- Ongoing support and maintenance may be paused
- Recovery or legal costs may be added to the outstanding balance
We reserve the right to permanently terminate services for non-payment.
Suspension or termination due to non-payment may result in temporary or permanent loss of website data, emails, backups, files, or services. Gill Tech Services accepts no liability for such loss.
6. Service Work
- All labour, installation, configuration, consultation, setup, migration, training, and support services are non-refundable once commenced or completed
- Additional support outside agreed service scope may be chargeable at our standard hourly rate
7. Third-Party Services
We are not responsible for:
- Third-party software or licensing issues
- Cloud or hosting provider outages
- Internet or network downtime outside our control
- Manufacturer defects covered under warranty
- Payment gateway failures or bank processing issues
We rely on third-party providers for hosting, cloud, domains, email, and infrastructure services. Gill Tech Services is not liable for outages, security incidents, failures, or data loss caused by third-party providers.
8. Customer Responsibilities
You are responsible for:
- Providing accurate and complete information
- Maintaining backups of your data unless otherwise agreed in writing
- Providing access to systems for service delivery
- Ensuring your business complies with all applicable New Zealand laws
- Maintaining the security of passwords, accounts, and login credentials
- Ensuring all website content, images, logos, trademarks, and materials supplied are legally owned or licensed for use
Unless specifically agreed in writing under a managed service agreement, clients are solely responsible for maintaining backups of their data, systems, emails, and website content.
9. eCommerce, Websites & Payment Systems
We may design, develop, and configure eCommerce websites, online stores, payment gateways, automation systems, and online booking systems.
However:
- We are not a party to any transaction between you and your customers
- We are not responsible for payments, refunds, chargebacks, disputes, fraud, failed transactions, or customer claims
- All payment processing is handled by third-party providers and is subject to their own terms and conditions
The client is fully responsible for:
- Managing orders, refunds, returns, and customer service
- Setting correct pricing, shipping, tax, and product information
- Compliance with all New Zealand laws including consumer, tax, financial, and trading regulations
- Ensuring all legal policies (refund policy, privacy policy, terms of sale) are accurate and compliant
Gill Tech Services accepts no liability whatsoever for financial loss, disputes, legal claims, penalties, business interruption, or performance arising from your business operations or online store.
Gill Tech Services does not guarantee any specific business results, sales, revenue, customer growth, website traffic, search engine rankings, or profitability from the use of our services.
10. Illegal Use & Right to Refuse Service
We reserve the right to suspend, restrict, or terminate services immediately if we believe services are being used for:
- Illegal activities
- Fraudulent activities
- Offensive or abusive content
- Malware, spam, hacking, or cyber attacks
- Copyright infringement
- Harmful, unethical, or prohibited activities
Gill Tech Services reserves the right to refuse service to anyone at any time for any lawful reason.
11. Account Security
Clients are responsible for maintaining the confidentiality and security of passwords, systems, email accounts, and login credentials.
Gill Tech Services is not liable for unauthorised access caused by weak passwords, credential sharing, phishing, malware, or client negligence.
12. Cancellation & Renewal
- Cancellation requests must be submitted in writing via email
- Phone calls, text messages, or social media messages are not considered valid cancellation requests
- Hosting, domains, subscriptions, and email services may automatically renew unless cancellation notice is received before the renewal date
Failure to renew services may result in website suspension, loss of email services, or permanent loss of domain ownership.
13. Intellectual Property & Content Ownership
- The client retains ownership of content supplied to Gill Tech Services
- The client grants Gill Tech Services permission to use supplied content for service delivery purposes
- Gill Tech Services retains ownership of internal systems, tools, templates, processes, and proprietary materials unless otherwise agreed in writing
The client confirms they own or have permission to use all content supplied to us.
14. Limitation of Liability
To the maximum extent permitted by law:
- Services are provided on an “as is” and “as available” basis
- We do not guarantee uninterrupted, secure, or error-free services
- Temporary outages, maintenance, cyber attacks, or third-party failures may occur
- We are not liable for indirect, incidental, or consequential losses
- We are not responsible for loss of revenue, profits, business, data, goodwill, or reputation
- Our total liability is strictly limited to the value of services or goods supplied
No liability is accepted for client business operations, business performance, or outcomes.
15. Indemnity
The client agrees to indemnify and hold harmless Gill Tech Services, NZ GILL ENTERPRISE LIMITED, its employees, contractors, affiliates, and suppliers from any claims, losses, damages, liabilities, legal actions, penalties, costs, or expenses arising from:
- The client’s use of services
- Website or online store content
- Business activities conducted using our services
- Breaches of law or regulations
- Copyright or trademark infringement
- Customer disputes or chargebacks
- Illegal, fraudulent, or unlawful activities
This indemnity includes legal fees and costs incurred in defending or enforcing such claims.
16. Abuse & Conduct
Abusive, threatening, harassing, discriminatory, or inappropriate behaviour towards Gill Tech Services staff, contractors, or representatives may result in immediate suspension or termination of services.
17. Privacy
We comply with the Privacy Act 2020 (New Zealand).
Customer information is used only for service delivery, billing, support, and legal obligations.
18. Force Majeure
We are not liable for delays or failures caused by events outside our control including:
- Supplier delays
- Natural disasters
- Power outages
- Internet outages
- Cyber attacks
- Government actions
- Third-party service failures
19. Governing Law
These Terms are governed by the laws of New Zealand.
20. Acceptance
By engaging our services, accepting a quote, making payment, or continuing to use our services, you confirm full acceptance of these Terms & Conditions.
